Job Description:
As part of the Finance, Audit and Risk Governance team, the role will report to the Head of Governance, Audit. The successful candidate will be responsible for setting and shaping the end to end Finance governance strategy, bringing innovation and pace to delivering enhancements to key governance fora, actively inputting into governance transformation programmes, and supporting the rollout of Finance governance initiatives across the Group.
Job Responsibilities:
- Supporting the launch and delivery of strategic governance initiatives and projects across Finance and Treasury.
- Enhancing governance processes supporting the consideration and review of potential inside information and disclosure controls, liaising with key internal and external stakeholders as required.
- Proactive, direct and close liaison with senior executive stakeholders in the Finance, Risk, Compliance, Legal and Reward Functions, including in relation to responsibilities under the Senior Managers Regime.
- Providing first class corporate governance and secretarial services / support to senior executive committees with a focus on Finance and Treasury, ensuring alignment with other Executive and Board meetings, streamlining and reducing duplication where possible.
- Ensuring the implementation of effective governance across Finance and Treasury , providing insightful advice and support to key stakeholders in relation to governance requirements. This will include prioritization and streamlining of agendas, accurate action tracking and follow-up, and support to the team in the preparation of insightful briefings and analysis.
- In conjunction with the wider Finance, Audit and Risk Governance team, develop best practice corporate governance requirements and standards to be adopted by subsidiary entities.
- Supporting the preparation of disclosures owned by the function in HSBC Holdings plc’s Annual Report and Accounts, Interim Report and Form 20-F;
- Supporting the strategic review and challenge of Finance and Treasury related governance reports.
Job Requirements:
- Strong knowledge of corporate governance principles, including driving high quality governance standards, via credible and practical experience.
- Financial services / UK regulatory experience is desirable but not essential.
- Ability to think innovatively with a drive for continuous improvement.
- Good knowledge of the HSBC Group and/or a similar large and complex organisation.
- Qualified company secretary, lawyer or accountant with experience in a high quality, large and complex organisation.
- Proven ability executes in a challenging and changing environment.
- Experience of acting as Secretary for a portfolio of companies within a Company Secretarial Department and ensuring applicable governance standards are met.
- Lateral thinking/problem solving/creativity.
- Proven ability to work well with all levels of management, handle confidential and sensitive information, work independently and under pressure and handle multiple tasks.
- Strong inter-personal, organisational, process management and verbal/ written skills including the maintenance and development of relationships with Directors.
